Welcome to Syntriah. These Terms & Conditions ("Terms") govern your use of all Syntriah services, websites, and digital platforms. By accessing or using any of our services, you agree to comply with and be bound by these Terms. These Terms apply globally, including in jurisdictions such as the United States, United Kingdom, Australia, India, South Africa, Nigeria, and Kenya.

1. Scope of Services
Syntriah provides health consultancy, digital health and AI solutions, research, occupational health, health financing and policy services, training, audits, and certifications. Services may include physical, digital, and hybrid delivery models depending on regional availability and legal frameworks.

2. Acceptance of Terms
By using our services, you confirm that you are at least 18 years old and are legally able to enter into a contract. If you are using our services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Service Use & Restrictions
Services must be used in a lawful and ethical manner. Users shall not:
- Engage in unauthorized copying, distribution, or resale of our proprietary tools or reports.
- Interfere with system security or abuse system resources.
- Use services for unlawful health interventions, including non-compliant clinical trials or fraudulent medical claims.

4. Client Responsibilities
Clients must provide accurate, up-to-date, and complete information during onboarding. Clients must not share access credentials and must notify Syntriah immediately in case of unauthorized use.

5. Fees and Payment
All applicable fees for services will be outlined in service contracts or invoices. Payments are to be made in agreed currencies and within specified terms. Late payments may incur interest and/or service suspension.

6. Confidentiality & Non-Disclosure
Syntriah and clients mutually agree to maintain the confidentiality of sensitive information exchanged during projects. This obligation survives the termination of services.

7. Intellectual Property Rights
All content, including designs, methodologies, software, and documentation, is the intellectual property of Syntriah or its licensors. Clients are granted a non-transferable, non-exclusive license for internal use only.

8. Termination
We reserve the right to suspend or terminate service access for breach of Terms. Either party may terminate an agreement with reasonable notice.

9. Disclaimers and Limitation of Liability
Services are provided “as is” without warranty of any kind. Syntriah is not liable for incidental, indirect, or consequential damages including, but not limited to, data loss, regulatory penalties, or loss of profits.

10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the country in which the service is rendered. Disputes shall be resolved through arbitration or mediation in a mutually agreed location.

11. Amendments
We may revise these Terms at any time. Continued use of our services after any change indicates your acceptance of the revised Terms.
